Board of Directors
The Board of DIrectors is a body of elected or appointed members who jointly oversee the activities of the company or organisation. The body sometimes has a different name such as board of trustees, board of governors, board of managers or executive board.
A boards activities are governed by the powers, duties, and responsibilities delegated to it or conferred on it by the authority outside itself. Thes matters are typically detailed in the organisations constitution. The constitution commonly specifies the number of members of the board, how they are to be chosen, and when they are to meet.
Typical responsibilities of the board include:
- governing the organisation by establishing broad policies and objectives
- selecting, appointing, supporting and reviewing te peformance of the CEO
- ensuring the availablity of aqequate financial resources
- approving annual budgets
- accounting to the shareholders for the companies performance
